These Terms of Use (hereinafter "ZedT&C") (also known as "Conditions of Use," "Terms of Service," "Terms & Conditions," or "User Agreement") govern use of and interaction with the Zedman Award associated sites, apps, social media, technology, and projects (collectively, hereinafter "ZedServices"). ZedT&C state conditions under which individuals or entities (hereinafter "ZedUser") may view, interact, or use ZedServices by any and whatever means, including, but not limited to, phone, mail, e-mail, chat, Internet, mobile device, and app. ZedServices are controlled, managed, or owned by the Zedman Award its controlling organizations and individuals, owners, and parent entities (collectively, hereinafter "ZedOwner") and designed, created, managed, or provided by ZedOwner, subsidiaries, management, employees, contractors, affiliates, and vendors (collectively, hereinafter "ZedOperator").
ZedUser's access and use of ZedServices is conditioned on both acceptance and compliance with ZedT&C. By accessing or using ZedServices, ZedUser agrees to be bound by ZedT&C. If ZedUser disagrees with any part of ZedT&C, ZedUser may not access ZedServices. ZedOwner may update ZedT&C without notice. Continued use of ZedServices means agreement and acceptance of revisions.
ZedUser must be a legal resident of and present in the United States of America and legally able to enter into a contract. Individuals must be 18 years of age or older. ZedUser acknowledges, agrees to, and accepts ZedT&C, privacy policy, and all ZedServices conditions and disclosures.
ZedOwner does not warranty or guarantee the accuracy, timeliness, performance, completeness or suitability of the information and materials in ZedServices. ZedUser acknowledges that such information and materials may contain inaccuracies or errors and ZedOwner expressly excludes liability for any such inaccuracies or errors to the fullest extent permitted by law.
Additional content and material may be linked to or referenced by ZedServices. Such items may provide further information or services. They do not signify ZedOperator endorses them. ZedOperator has no responsibility for outside material.
Use of ZedServices is entirely at ZedUser's risk, for which ZedOperator is not liable.
ZedOwner grants ZedUser a limited license to access and make use of this site and not to download (other than page caching) or modify it, or any portion of it, except with express written consent of ZedOwner. Content may be used for promotional use by an award recipient within the guidelines of ZedT&C and the Official Rules. Other than permitted promotional use, this license does not include any resale or commercial use of this site or its contents: any collection and use of any product listings, descriptions, or prices: any derivative use of this site or its contents: any downloading or copying of account information for the benefit of another merchant: or any use of data mining, robots, or similar data gathering and extraction tools. This site or any portion of this site may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of ZedOwner. ZedUser may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of ZedServices without express written consent. ZedUser may not use any meta tags or any other "hidden text" utilizing Service name or trademarks without the express written consent of ZedOwner. Any unauthorized use terminates the permission or license granted by ZedOwner. ZedUser is granted a limited, revocable, and nonexclusive right to create a hyperlink to the home page of Service so long as the link does not portray ZedServices or ZedOperator, its associates, or products or services in a false, misleading, derogatory, or otherwise offensive matter. ZedUser may not use any ZedServices logo or other proprietary graphic or trademark as part of the link without express written permission -- except as previously indicated for award recipient recognition.

Content included in ZedServices such as but not limited to text, audio, graphics, photos, video, data, and software, is protected by national and international copyright laws. Original content and the compilation of all content on this site is the exclusive property of ZedOwner. The copyright of submitted content remains unchanged and unless legally transferred is not the property of ZedOwner. For example, the submission of video to the Zedman Awards does not make that video the property of the Zedman Award -- the original copyright holder is unchanged.
Icons, logos, photos, trademarks, trade dress, and other intellectual property ("IP") may not be used without permission. Recipients of Zedman awards may use such items according to the Official Rules. For example, recipients of a Zedman Award may use appropriate logos to publicize their achievement. In no case may IP be used in any manner that is likely to cause confusion or that disparages or discredits ZedServices or ZedOperator. IP not belonging to ZedOwner is the property of its respective owners, who may or may not be affiliated with, connected to, or sponsored by ZedOwner.
If ZedUser creates an account in ZedServices, ZedUser is responsible for maintaining the confidentiality of ZedUser's account and password and for restricting access to ZedUser's computer, and ZedUser agrees to accept responsibility for all activities that occur under ZedUser's account. ZedOwner reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.
ZEDSERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, ZEDOPERATOR EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
ZEDOPERATOR MAKES NO WARRANTY THAT: (A) ZEDSERVICES, SITE, APPLICATIONS, OR MATERIALS WILL MEET ZEDUSER REQUIREMENTS; (B) ZEDSERVICES, SITE, APPLICATIONS, OR MATERIALS WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE BASIS; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF ZEDSERVICES, SITE, APPLICATIONS, OR ANY MATERIALS OFFERED THROUGH ZEDSERVICES, SITE OR APPLICATIONS, WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY OF ZEDSERVICES, PRODUCTS, INFORMATION, OR OTHER MATERIAL OBTAINED OR PURCHASED BY ZEDUSER THROUGH THE ZEDSERVICES, SITE, APPLICATIONS, OR IN RELIANCE ON THE MATERIALS WILL MEET ZEDUSER'S EXPECTATIONS.
OBTAINING ANY CONTENT, INFORMATION, SERVICE, OR MATERIALS THROUGH THE USE OF ZEDSERVICES, SITE OR APPLICATIONS IS DONE AT ZEDUSER'S OWN DISCRETION AND AT ZEDUSER'S OWN RISK. ZEDOPERATOR SHALL HAVE NO RESPONSIBILITY FOR ANY DAMAGE TO ZEDUSER'S COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY CONTENT, MATERIALS, INFORMATION OR SOFTWARE.
EXCEPT AS PROHIBITED BY LAW, ZEDUSER WILL HOLD ZEDOPERATOR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS HARMLESS FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGE, HOWEVER IT ARISES (INCLUDING ATTORNEYS' FEES AND ALL RELATED COSTS AND EXPENSES OF LITIGATION AND ARBITRATION, OR AT TRIAL OR ON APPEAL, IF ANY, WHETHER OR NOT LITIGATION OR ARBITRATION IS INSTITUTED), WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, OR OTHER TORTIOUS ACTION, OR ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, INCLUDING WITHOUT LIMITATION ANY CLAIM FOR PERSONAL INJURY OR PROPERTY DAMAGE, ARISING FROM THIS AGREEMENT AND ANY VIOLATION BY ZEDUSER OF ANY FEDERAL, STATE, OR LOCAL LAWS, STATUTES, RULES, OR REGULATIONS, EVEN IF ZEDOPERATOR HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF ZEDOPERATOR, IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE PRODUCTS AND/OR SERVICES, AND UNDER NO CIRCUMSTANCES WILL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE PRIOR LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
The illegality, invalidity or unenforceability of any provision of ZedT&C shall in no way affect the validity or enforceability of any of the remainder of ZedT&C.
